Terms & Conditions

1. Definitions

In these Terms and Conditions:

• "Service Provider" means Antonio Paes Computer Services, a sole proprietorship operated by Antonio Paes, Goa, India.
• "Client" means any individual, company, or organisation that engages or enquires about services from the Service Provider.
• "Project" means the specific work agreed between the Service Provider and the Client.
• "Deliverable" means any work product, code, design, document, or system produced as part of the Project.
• "Agreement" means the project proposal, quotation, or written confirmation of scope accepted by both parties.

2. Services

The Service Provider offers software development, web design and development, web applications, IT infrastructure, graphics design, content management systems, domain and hosting services, and related IT services. The specific scope of services for each Project will be detailed in the Agreement.

All deliverables are built from scratch unless otherwise explicitly stated in the Agreement. The Service Provider does not use open-source CMS platforms (such as WordPress, Joomla, or Drupal) in the development of client projects unless specifically requested and agreed in writing.

3. Quotations and Acceptance

All quotations provided are valid for 30 days from the date of issue unless otherwise stated. A Project commences upon:

• Written acceptance of the quotation by the Client, and
• Receipt of any agreed initial deposit payment

Verbal commitments do not constitute a binding agreement. All scope changes must be agreed in writing and may result in revised pricing and timelines.

4. Payment Terms

Unless otherwise agreed in the project proposal:

• A non-refundable deposit of 50% of the project value is due upon commencement
• The remaining balance is due upon project completion and prior to final delivery or go-live
• For ongoing retainer or maintenance engagements, invoices are issued monthly in advance
• Invoices are payable within 14 days of issue
• Late payments attract interest at 2% per month compounded monthly on the outstanding amount

All prices are in Indian Rupees (INR) unless otherwise stated. For international clients, payments are accepted in agreed foreign currency at the prevailing exchange rate on the date of invoice.

5. Client Obligations

The Client agrees to:

• Provide accurate, timely, and complete information, content, and materials required for the Project
• Ensure all content provided does not infringe upon third-party intellectual property rights, is not defamatory, and complies with applicable laws
• Respond to queries and provide feedback within agreed timeframes; delays caused by the Client may result in revised project timelines
• Obtain all necessary third-party licences, permits, and approvals required for the project
• Keep login credentials and access details provided by the Service Provider secure and confidential

6. Intellectual Property

Upon receipt of full payment:

• All custom code, designs, and deliverables created specifically for the Client become the intellectual property of the Client
• The Service Provider retains ownership of all underlying frameworks, tools, libraries, or reusable components developed independently
• The Service Provider reserves the right to display the completed project as portfolio work unless the Client requests confidentiality in writing prior to project commencement

Where third-party assets (fonts, stock images, APIs) are incorporated, the Client is responsible for maintaining the appropriate licences after project handover.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the Project and not to disclose it to third parties without prior written consent. This obligation survives termination of the engagement for a period of 3 years.

8. Warranties and Disclaimers

The Service Provider warrants that:

• All work will be performed with reasonable skill and care
• Deliverables will substantially conform to the agreed specifications at the time of delivery

The Service Provider does not warrant that:

• Software will be free from all defects in perpetuity
• Third-party services, hosting providers, or APIs will remain available or unchanged
• Search engine rankings or business outcomes will be achieved as a result of the work

A 30-day warranty is provided on all completed development work, during which bugs directly attributable to our code will be fixed at no charge. Issues arising from Client modifications, third-party changes, or new requirements are not covered by this warranty.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

• The total liability of the Service Provider for any claim shall not exceed the total fees paid by the Client for the specific Project giving rise to the claim
• The Service Provider shall not be liable for indirect, consequential, incidental, or special damages, including loss of revenue, loss of data, or loss of business opportunity
• The Service Provider is not liable for downtime, data loss, or damages caused by third-party hosting providers, internet service providers, or force majeure events

10. Termination

Either party may terminate a Project by providing written notice. In such event:

• The Client shall pay for all work completed up to the date of termination, calculated on a pro-rata basis of the agreed project value
• The initial deposit is non-refundable
• The Service Provider shall deliver all completed work products to the Client upon receipt of payment for completed work

The Service Provider may terminate with immediate effect and without notice if the Client engages in fraudulent conduct, provides false information, or breaches these terms materially.

11. Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872. Any dispute arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Goa, India.

For international clients, the parties may agree in writing to resolve disputes through arbitration under the Arbitration and Conciliation Act, 1996.

12. Force Majeure

The Service Provider shall not be in breach of these terms nor liable for any failure or delay in performance of obligations if such delay is due to circumstances beyond reasonable control, including natural disasters, power outages, internet disruptions, government actions, pandemics, or civil unrest.

13. Amendments

These Terms and Conditions may be updated from time to time. Clients will be notified of material changes. Continued engagement of services after notification of changes constitutes acceptance. For ongoing projects, the terms in force at the time of the signed Agreement apply for the duration of that project.

14. Entire Agreement

These Terms and Conditions, together with the project proposal or quotation accepted by the Client, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior negotiations, representations, or agreements.
